The Takeover Regime rests on a set of general principles. These are expressed in broad terms and are applied in accordance with their spirit, including where a specific rule does not address the point. They cover, among other things, the fair and equal treatment of shareholders of the same class, the provision of sufficient information and time for shareholders to reach a properly informed decision, and the avoidance of false markets in the securities of a target.
The Takeover Principles are set out in section 2 of the Takeover Regulations (Takeover Code) Rules 2015.
