IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS OF USE, YOU MUST NOT, AND YOU ARE NOT ENTITLED TO, ACCESS OR USE OUR PLATFORMS. 1. INFORMATION ABOUT US
The platforms, websites and applications to which these Terms of Use apply (each a Platform and together the Platforms) are owned and operated by the Abu Dhabi Global Market (ADGM, we or us). Any reference to “ADGM”, “we” or “us” includes our successors and assigns.
2. APPLICATION OF THESE TERMS OF USE
2.1 These Terms of Use apply to all ADGM Platforms unless separate, platform-specific terms of use are provided. Without limiting the effect of the foregoing, these Terms of Use apply to the following Platforms:
2.2 Where platform-specific terms of use exist, those terms shall govern your use of the relevant Platform.
2.3 These terms of use together with the documents referred to herein (together, the Terms of Use) set out the terms and conditions on which you may make use of the Platforms (including any updates, upgrades or supplements to them), the services you receive or connect to via the Platforms (which may include our services or third party services) (the Services) and the text, audio, video, images, graphics, software or other information or data (together, Content) provided to you through the Platforms.
2.4 In these Terms of Use, references to "you" or "your" is a reference to (as applicable): (i) the individual who accesses and uses a Platform (User); and/or (ii) where the User accesses a Platform as an employee, contractor or authorised user of an organisation, the organisation on behalf of whom the User is accessing and using the Platform (Corporate User).
2.5 If you are a User using a Platform on behalf of a Corporate User, you represent and warrant to the ADGM that you have the authority to bind the Corporate User to these Terms of Use and to act on behalf of the Corporate User. Corporate Users are jointly and severally responsible for their Users’ use of the Platforms and for their Users’ compliance with these Terms of Use.
2.6 Certain Platforms may impose a minimum age requirement for account creation. In particular, some Platforms require users to be at least 18 years of age to create an account. You must check the specific requirements of each Platform before creating an account. If you are under 18 and permitted to use a Platform, you may need your parent/guardian to help you with your use of the Platform and with understanding these Terms of Use. If anything is hard to understand, please ask your parent/guardian to explain. If you still have any questions, you or your parent/guardian can contact us using the contact details set out in Section 22 below.
2.7 We reserve the right to monitor your use of the Platforms from time to time in order to review your compliance with these Terms of Use.

4. ADDITIONAL TERMS AND NOTICES
4.1 Your use of the Platforms, certain features, certain Services or certain Content made available to you may be subject to additional terms of use and privacy notices. Such additional terms of use and privacy notices will be disclosed to you from time to time and the additional terms of use will prevail over these Terms of Use in the event of any conflict or inconsistency. Please review any such additional terms of use and indicate your acceptance to such terms by clicking on the accept button, once prompted. If you continue to use the Platforms, Services or Content after additional terms of use have been provided to you, you will be deemed to have agreed to be bound by the additional terms of use.
4.2 Third party software, content, data or other materials or third party services included in our Platforms may be subject to additional terms and conditions of the relevant third party. Where there is any conflict or inconsistency between these Terms of Use and any terms and conditions of third parties, the third party terms and conditions will prevail. You agree that you shall comply with, and not by any act or omission put the ADGM in breach of, the third party terms and conditions.
5. CHANGES TO THESE TERMS OF USE
5.1 From time to time, we may revise these Terms of Use and any such changes will be posted on the relevant Platform. Where appropriate, we may also notify you when you next access the Platform. A new version of these Terms of Use may also be displayed on-screen and you may be required to read and accept the changes to continue your use of our Platforms or any of the Services.
5.2 Please take notice of any changes to these Terms of Use that we make, as they are binding and will take effect once posted. It is your responsibility to check these Terms of Use periodically for changes. Your continued access and use of the Platforms after any modification to these Terms of Use constitutes your acceptance of the modified Terms of Use. If you do not accept any changes, you will not be permitted to continue to use the Platforms or the Services and your rights to access or use the Platforms or the Services shall immediately terminate.
6. CHANGES TO OUR PLATFORMS
6.1 From time to time, we may automatically update or upgrade the Platforms and change certain Services to improve performance, enhance functionality, reflect changes to operating systems or address security issues. Alternatively, we may ask you to update or upgrade for these reasons.
6.2 If you choose not to install such updates or upgrades or if you opt out of automatic updates or upgrades, you may not be able to continue using the Platforms or the Services.
7. AVAILABILITY AND SUPPORT
7.1 We make no representation, and do not warrant or guarantee, that: (i) your use of the Platforms will be 100% secure or error-free; (ii) defects in the Platforms, if any, will be corrected; (iii) the Platforms or the Content available through the Platforms will meet your requirements; or (iv) the Platforms will be free from bugs or viruses. You should download and use your own virus protection software.
7.2 We also make no representation, and do not warrant or guarantee, that our Platforms, the Services, or any Content on them, will always be available or be uninterrupted. We may suspend, restrict the availability of, withdraw, discontinue or change all or any part of our Platforms with or without notice at any time. We will not be liable to you if for any reason our Platforms are unavailable at any time or for any period.
7.3 If you have any issues using the Platforms or any Service, please contact us in accordance with Section 22 below.
8. ACCEPTABLE USE
8.1 In consideration for you agreeing to comply with these Terms of Use, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable and limited right, on the terms of these Terms of Use, to:
until your right is terminated in accordance with these Terms of Use.
8.2 We are giving you a personal right to use our Platforms and the Documentation under these Terms of Use. You are not entitled to assign or otherwise transfer such rights to any third party without the ADGM's prior written consent.
8.3 In using our Platforms or any Services, you must comply with any acceptable use policy applicable to the Platforms from time to time. Without prejudice to the foregoing, you agree that you shall not:
8.4 If we consider that you have breached these Terms of Use, you have otherwise demonstrated inappropriate conduct when using the Platforms or the Services or Content provided through the Platforms, or your Content may cause harm to ADGM, other users or third parties, we reserve the right, at our sole discretion, to:

9. REGULATORY SUBMISSIONS
9.1 Where you submit information or data to ADGM via the Platforms for regulatory purposes (including, without limitation, regulatory filings, applications, registrations and returns), you represent and warrant that all such information and data is accurate, complete and not misleading.
9.2 You acknowledge that: (a) ADGM is entitled to rely on the accuracy and completeness of all information and data submitted for regulatory purposes; (b) you remain responsible for ensuring that all regulatory filings and submissions comply with applicable laws and regulations; and (c) the submission of inaccurate, incomplete or misleading information or data may result in rejection of your application or filing, regulatory action and/or termination of your access to the Platforms.
10. PAYMENTS
10.1 The Platforms may include functionality that enables you to make payments for products or services using a credit or debit card issued by a recognised card scheme, your e-Wallet (as defined below) or any other payment method available via the Platforms from time to time (Payment Transactions). ADGM reserves the right to add, remove or otherwise modify the payment methods available at any time without prior notice.
10.2 The Platforms may include an integrated electronic wallet (e-Wallet) enabling you to store funds for Payment Transactions. The e-Wallet is not a bank account, does not earn interest and is not insured or guaranteed by any governmental agency.
10.3 You may add funds to your e-Wallet at any time. All top-ups are subject to: (a) verification by our third party payment processor; (b) any applicable minimum or maximum amounts; (c) our third party payment processor's terms and conditions; and (d) any applicable fees disclosed at the time of the transaction. You may request a refund of your e-Wallet balance at any time, subject to identity verification, any applicable minimum balance requirements and withdrawal fees.
10.4 By initiating a Payment Transaction, you authorise ADGM and its payment processors to charge the applicable amount to your selected payment method. You represent and warrant that: (a) you are the authorised holder of any payment card or account used; (b) all payment information is accurate and complete; (c) you have sufficient funds or credit; and (d) you will not use payment facilities for any unlawful or fraudulent purpose. You also agree to the terms of service of ADGM's third party payment processors and the financial institution or payment service provider who has issued your selected payment method.
10.5 ADGM reserves the right to refuse, cancel or reverse any Payment Transaction where it reasonably suspects fraud, money laundering, terrorism financing or other unlawful activity, or where the Payment Transaction would breach any applicable law. ADGM may, in its sole discretion, impose transaction limits on Payment Transactions and e-Wallet balances. ADGM reserves the right to modify such limits at any time without notice.
10.6 ADGM may charge fees for Payment Transactions, refunds or other payment services, which will be disclosed prior to completion of the transaction. You are solely responsible for any fees imposed by your card issuer, bank or governmental authority.
10.7 ADGM reserves the right to suspend or terminate your access to payment facilities at any time without notice. Upon termination, ADGM will use reasonable endeavours to, subject to identity verification, deduction of outstanding liabilities and any legal requirements, refund any remaining e-Wallet balance.
10.8 ADGM may, in its sole discretion, impose transaction limits on Payment Transactions and e-Wallet balances. ADGM reserves the right to modify such limits at any time without notice.
11. INTELLECTUAL PROPERTY RIGHTS
11.1 All intellectual property rights in the Platforms, Documentation, Services and Content published on the Platforms (together, ADGM Property) are the exclusive property of, and are owned by, ADGM or its third party licensors. All such intellectual property rights are reserved. These Terms of Use do not grant you any rights to, under or in any patents, copyrights, database rights, trade secrets, trade names, trade marks (whether registered or unregistered), or any other rights or licences in respect of the ADGM Property.
11.2 When you share, upload or post Content to our Platforms or in the use of the Services, you automatically grant to ADGM, each of ADGM’s affiliates and each of their third party licensors and service providers a perpetual, irrevocable, royalty-free, sub-licensable, worldwide and non-exclusive licence to use, store, copy and distribute such Content to the extent necessary to make available, distribute and support the Platforms and to provide the Services.

12. CONFIDENTIAL INFORMATION
12.1 For the purposes of this Section 12, "Confidential Information" means all information (whether written, oral or electronic) that a reasonable person in the position of the person receiving, or accessing, the information would consider to be of a confidential nature, excluding (with effect from the date on which it becomes available to the public) any information that is, or becomes, generally available to the public other than as a result of the information being disclosed in breach of these Terms of Use.
12.2 You agree: (i) to maintain in confidence all Confidential Information that is disclosed to, or accessed by, you in connection with the Platforms or Services and not, without our prior written consent, disclose such Confidential Information to any third party; and (ii) not to use Confidential Information that is disclosed to, or accessed by, you in connection with the Platforms or Services, other than for the purpose of using the Platforms and Services and otherwise exercising your rights and performing your obligations under these Terms of Use.
13. NON-RELIANCE ON INFORMATION
13.1 The Platforms and the Services have not been developed to meet your individual requirements and you are responsible for configuring your devices to access and/or use the Platforms and the Services. Please check that the facilities and functions of the Platforms and the Services (as described in the Documentation) meet your requirements.
13.2 You acknowledge and agree that any Content on our Platforms is provided on an “as is” and "as available" basis, for your general information only. The ADGM makes no representation, and gives no warranty or guarantee, that Content available through the Platforms or Services is accurate, complete or up to date. Any reliance on the Content is entirely at your own risk. ADGM shall not be liable for any loss or damage arising from the use of our Platforms or any Content on our Platforms. You must obtain professional or specialist advice before taking or refraining from any action on the basis of the Content. It shall be your own responsibility to ensure that any products, services or information available through or advertised on our Platforms meet your specific requirements.
13.3 You acknowledge that the Platforms and Services may incorporate, utilise or be enhanced by artificial intelligence, machine learning, large language models, generative AI, or other similar technologies (collectively, AI Technologies). Whilst ADGM is constantly striving to improve the quality, accuracy and appropriateness of the AI Technologies used as part of the Platforms and Services, due to the inherent nature of AI Technologies, any Content, output, recommendations, responses, or other materials generated, produced, or provided by or through AI Technologies may contain errors, inaccuracies, omissions, biases, "hallucinations", or information that is incomplete, unreliable, misleading, inappropriate, infringing, unsuitable or that does not meet your expectations or requirements. You are solely responsible for evaluating the accuracy, completeness, reliability, appropriateness, and suitability of all output generated by the AI Technologies, including by way of independent verification and human review, and any reliance on such output is entirely at your own risk.
14. INDEMNITY
14.1 Section 14.2 shall not apply to Users who access and use the Platforms as a consumer.
14.2 You agree to indemnify, defend and hold harmless ADGM, its affiliates and each of their directors, owners, employees and agents (each an Indemnified Person) from and against any and all claims, damages, liabilities, losses, costs and expenses (including reasonable legal fees on a full indemnity basis) or payments whatsoever, suffered or incurred by the Indemnified Persons arising out of or in connection with:

15.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORMS, SERVICES AND ANY CONTENT AVAILABLE THROUGH THE PLATFORMS OR SERVICES ARE PROVIDED ON AN ‘AS IS’ AND ‘AS AVAILABLE’ BASIS. THE ADGM MAKES NO REPRESENTATION, AND GIVES NO WARRANTY OR GUARANTEE, EXPRESS OR IMPLIED, IN RELATION TO THE PLATFORMS, SERVICES OR ANY CONTENT AVAILABLE THROUGH THE PLATFORMS OR SERVICES. YOU ACKNOWLEDGE THAT YOUR USE OF THE PLATFORMS, SERVICES AND ANY CONTENT AVAILABLE THROUGH THE PLATFORMS OR SERVICES IS AT YOUR OWN RISK.
15.2 ALL WARRANTIES, REPRESENTATIONS, GUARANTEES OR OTHER TERMS CONCERNING THE PLATFORMS, SERVICES, ANY CONTENT AVAILABLE THROUGH THE PLATFORMS OR SERVICES OR THESE TERMS OF USE WHICH, SAVE FOR THIS PROVISION, MAY BE IMPLIED INTO THESE TERMS OF USE, WHETHER BY LAW, CUSTOM OR OTHERWISE (INCLUDING ANY COMMITMENTS AS TO NON-INFRINGEMENT, SERVICE AVAILABILITY, STABILITY AND CONFORMITY TO ANY DESCRIPTION) ARE, TO THE FULLEST EXTENT PERMITTED BY LAW, EXPRESSLY EXCLUDED.
16. LIMITATION OF OUR LIABILITY
16.1 SECTIONS 16.4, 16.5 AND 16.6 SHALL NOT APPLY TO USERS WHO ACCESS AND USE THE PLATFORMS AS A CONSUMER. FOR THE AVOIDANCE OF ANY DOUBT, IF YOU USE A PLATFORM AS A CONSUMER, YOU ARE PERMITTED TO USE THE PLATFORM FOR PERSONAL PURPOSES ONLY. YOU ARE NOT ENTITLED TO USE THE PLATFORM FOR COMMERCIAL OR BUSINESS PURPOSES AND SECTION 16.7 THEREFORE APPLIES ON THAT BASIS.
16.2 REFERENCES TO "LIABILITY" IN THIS SECTION 16 APPLY TO EVERY LIABILITY ARISING OUT OF, OR IN CONNECTION WITH, THESE TERMS OF USE (INCLUDING YOUR USE OF THE PLATFORMS, SERVICES AND ANY CONTENT AVAILABLE THROUGH THE PLATFORMS OR SERVICES), INCLUDING LIABILITY IN CONTRACT, TORT (INCLUDING NEGLIGENCE), MISREPRESENTATION, BREACH OF STATUTORY DUTY OR OTHERWISE.
16.3 NOTHING IN THESE TERMS OF USE EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY ARISING FROM OUR NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW. NOR SHALL ANYTHING IN THESE TERMS OF USE LIMIT ANY RIGHTS OR REMEDIES TO WHICH YOU MAY BE ENTITLED UNDER APPLICABLE CONSUMER LAWS.
16.4 SUBJECT TO SECTION 16.3, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ADGM SHALL HAVE NO LIABILITY OF ANY KIND TO YOU. YOU ACKNOWLEDGE THAT PLATFORMS ARE MADE AVAILABLE TO YOU FREE OF CHARGE AND THAT ADGM WOULD NOT HAVE AGREED TO MAKE THE PLATFORMS OR ANY SERVICES AVAILABLE TO YOU WITHOUT THE LIMITATIONS ON LIABILITY SET OUT IN THESE TERMS OF USE. ON THAT BASIS, YOU AGREE THAT THE ALLOCATION OF RISK SET OUT IN THESE TERMS OF USE (AND THE LIMITATIONS ON ADGM'S LIABILITY) IS REASONABLE. YOU UNDERSTAND THAT YOU ARE RESPONSIBLE FOR PUTTING IN PLACE YOUR OWN ARRANGEMENTS FOR THE INSURANCE OF ANY LOSS OR DAMAGE YOU MAY SUFFER OR INCUR IN CONNECTION WITH THE USE OF THE PLATFORMS.
16.5 SUBJECT TO SECTION 16.3, AND WITHOUT PREJUDICE TO SECTION 16.4, IN THE EVENT THAT ADGM IS FOUND LIABLE TO YOU FOR ANY REASON (INCLUDING, WITHOUT LIMITATION, WHERE SUCH LIABILITY CAN BE LIMITED BUT NOT EXCLUDED BY APPLICABLE LAW), ADGM'S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED USD 100.
16.6 SUBJECT TO SECTION 16.3, AND WITHOUT PREJUDICE TO SECTION 16.4, WE WILL NOT BE LIABLE TO YOU FOR ANY LOSS OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH:
16.7 IN NO CIRCUMSTANCES WILL WE BE LIABLE TO YOU FOR ANY INDIRECT OR CONSEQUENTIAL LOSS OR ANY LOSS OF PROFITS, LOSS OF DATA, LOSS OF SALES, LOSS OF BUSINESS, BUSINESS INTERRUPTION, LOSS OF ANTICIPATED SAVINGS, LOSS OF BUSINESS OPPORTUNITY OR DAMAGE TO GOODWILL OR REPUTATION, IN EACH CASE WHETHER DIRECT OR INDIRECT.
16.8 ADGM WILL NOT BE LIABLE TO THE EXTENT THAT WE ARE DELAYED IN OR PREVENTED FROM PERFORMING OUR OBLIGATIONS UNDER THESE TERMS OF USE DUE TO AN EVENT OR CIRCUMSTANCE BEYOND OUR REASONABLE CONTROL.
17. THIRD PARTY LINKS AND SERVICES IN OUR PLATFORMS. ADDITIONAL TERMS FOR SPECIFIC SERVICES.
17.1 Our Platforms may contain information, advertisements, promotions and other Content about products, events and/or services provided or offered by third parties, including via links to external portals, applications or sites owned and operated by such third parties. We make no representations, and give no warranty or guarantee, either express or implied, regarding the information, content or services provided by any third party through our Platforms. We do not approve, endorse, recommend, guarantee or accept responsibility for the accuracy or availability of the information or content provided by any third party sites or any products, events and/or any services you may receive or obtain from them.
17.2 You agree that your interactions with third parties in relation to any third party sites, products, events and/or services are governed by the applicable terms and conditions and privacy policies of the relevant third parties. We are not liable for any losses or damages you suffer or incur arising under or in connection with your use of third party sites, your reliance on any information or content displayed on such third party sites or your receipt or use of any third party products, events and/or services promoted or linked on our Platforms.
18. YOUR ACCOUNT AND PASSWORD
18.1 Certain Platforms require you to create an account before accessing the Platform or specific features. Account creation may be subject to verification and approval by ADGM.
18.2 Different Platforms may have different categories of users with varying access levels and permissions. The specific user categories and associated access rights for each Platform will be determined by ADGM and may be amended from time to time. ADGM reserves the right to grant, restrict or modify your access level at any time.
18.3 If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must maintain the security and secrecy of such information and not disclose it to any third party. You are solely responsible for all activity that occurs under your user identification code and password, and you must notify us immediately if you become aware of any unauthorised use or if you know or suspect that anyone other than you knows your user identification code and/or password.
18.4 We have the right to disable, suspend or delete any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Use or we suspect any unauthorised use or misuse of the Platforms or Services.
19. SUSPENSION OR TERMINATION OF YOUR ACCESS
19.1 The Platforms are made available to you free of charge. Without limiting any other rights or remedies to which we may be entitled, we reserve the right, in our sole discretion, at any time to restrict, suspend or terminate access to all or any part of the Platforms or Services for any reason with or without prior notice. We may change, suspend or discontinue all or any aspect of the Platforms or the Services at any time, including the availability of any Content, with or without prior notice and without any liability.
19.2 If we terminate your right to use our Platforms or the Services in accordance with these Terms of Use:
19.3 Any rights, remedies, obligations, or liabilities of either you or us that have accrued up to the date of termination, including the right to claim damages in respect of any breach of these Terms of Use which existed at or before the date of termination, shall not be affected or prejudiced.
20. ASSIGNMENT
ADGM may freely novate, assign, transfer or otherwise dispose of these Terms of Use or any of ADGM’s rights or obligations under these Terms of Use without your consent and without providing notice. At ADGM's request and cost, you shall, and shall use all reasonable endeavours to procure that any necessary third party shall, promptly execute and deliver such documents and perform such acts as may be required to enable ADGM to novate, assign, transfer or otherwise dispose of these Terms of Use or any of ADGM’s rights or obligations under these Terms of Use.
21. GOVERNING LAW AND JURISDICTION
21.1 These Terms of Use, your use of our Platforms and any dispute between you and the ADGM arising out of these Terms of Use are subject to the laws of the Abu Dhabi Global Market and these Terms of Use shall be governed by and construed in accordance with the laws of the Abu Dhabi Global Market.
21.2 Any disputes arising in connection with these Terms of Use shall be referred to and finally resolved by the courts of the Abu Dhabi Global Market, which shall have exclusive jurisdiction to settle any such disputes. You agree that the courts of the Abu Dhabi Global Market are the most appropriate and convenient courts to settle any dispute under or in connection with these Terms of Use and you hereby waive any objection to the courts of the Abu Dhabi Global Market on the grounds that they are an inconvenient or inappropriate forum to settle any dispute.
22. NOTICES AND CONTACT
22.1 ADGM may provide any notice to you under these Terms of Use by: (i) posting a notice on the Platforms; or (ii) sending an email to the email address then associated with your account. Notices we provide by posting on the Platforms will be effective upon posting and notices we provide by email will be effective when we send the email. It is your responsibility to keep your email address current. You will be deemed to have received any email sent to the email address then associated with your account when we send the email, whether or not you actually receive the email.

23. OTHER TERMS
23.1 These Terms of Use are made in the English language. If these Terms of Use are translated into any other language (including Arabic), and there is any inconsistency, ambiguity, discrepancy or conflict between the English language version and any translated version, the English language version shall prevail and take precedence in all respects. The English language version shall be the authoritative and controlling version for all purposes, including for the purposes of interpretation and enforcement.
23.2 Nothing in these Terms of Use is intended to, or shall operate to, create a partnership between you and us, or authorise either you or us to act as agent for the other, and neither of you or us shall have the authority to act in the name or on behalf of or otherwise to bind the other in any way.
23.3 These Terms of Use and the documents expressly referred to herein contain the whole agreement between us and you relating to its subject matter and supersedes any prior agreements, representations, or understandings between us.
23.4 Subject to Section 5, no amendment or variation of these Terms of Use will be valid unless agreed in writing by an authorised signatory of ADGM.
23.5 Each provision (and each part provision) in these Terms of Use is intended to be severable and distinct from the others. If a provision (or any part provision) is held to be illegal, invalid, or unenforceable, the relevant provision (or part provision) shall be deemed to be deleted and the legality, validity and enforceability of the remainder of these Terms of Use shall not be affected.
23.6 A waiver of any right or remedy to which ADGM is entitled is only effective if given in writing. A failure by ADGM to exercise, or a delay by ADGM in exercising, any right or remedy under these Terms of Use shall not constitute a waiver of the right or remedy or a waiver of any other rights or remedies that ADGM may otherwise have. Nor shall any single or partial exercise of any right or remedy under these Terms of Use by ADGM prevent any further exercise of the right or remedy or the exercise of any other right or remedy.
23.7 No third party shall have any rights to enforce any of these Terms of Use, save that each Indemnified Person shall be entitled to enforce its rights to indemnification against you as if the Indemnified Person were a party to these Terms of Use.
