    The ADGM Registration Authority (“RA”) has published amendments to its commercial legislation to strengthen the regulatory framework within ADGM.

    The amendments introduce specific enhancements, designed to further enhance regulatory clarity, align with international standards, and further mitigate risks related to money laundering and terrorist financing.

    A summary of some of the key features of the amendments are as follows:

    • Restrictions on non-profit activities
      Foundations and trusts can no longer be set up for purposes that fall within ADGM’s definition of non-profit organisations under its Anti‑Money Laundering framework.
    • Clearer beneficial ownership requirements for trustees
      Certain obligations relating to trusts have been clarified and streamlined under the Beneficial Ownership and Control Regulations.
    • No bearer shares permitted
      Companies are now expressly prohibited from issuing bearer shares.
    • Clearer filing deadlines
      Some filing deadlines in the Companies Regulations have been updated to provide greater regulatory clarity.

    The legislative updates include amendments to the following:

    • Distributed Ledger Technology Foundations Regulations 2023,
    • Foundations Regulations 2017, Trusts (Special Provisions) Regulations 2016,
    • Beneficial Ownership and Control Regulations 2022, and
    • Administrative Regulations 2025, and Companies Regulations 2020.

    In addition, the Commercial Licensing Regulations (Conditions of Licence and Branch Registration) Rules 2025(B) have been repealed and replaced with the Commercial Licensing Regulations (Conditions of Licence and Branch Registration) Rules 2026.

    These changes are effective upon publication. The updated legislation is publicly available and can be accessed through ADGM’s official website.
